Automatic Weighing and Conveying Systems Ltd (T/A Pack Stuff)​

Business Customers Only  
These terms apply solely to commercial sales. By placing an order or requesting a quotation from Pack Stuff (Automatic Weighing and Conveying Systems Ltd), you confirm that you are acting in the course of a business, trade, or profession. We do not supply goods or services to consumers.

1. Formation of Contract  
A contract is formed when you instruct us to proceed following receipt of a quotation or invoice, whether verbally, via email, or in writing. By requesting a quotation, accepting an invoice, or engaging with our services in any way, you agree to be bound by these Terms of Sale, which form part of the agreement between you and Automatic Weighing and Conveying Systems Ltd, trading as Pack Stuff.

 

2. Non-Dispatch Without Payment  
We operate on a strict payment-before-dispatch basis unless otherwise agreed in writing. Goods will not be released until full cleared payment is received. Risk in the goods transfers only upon delivery.

 

3. Pre-Sale Work and Engineering Support  
Where Pack Stuff undertakes significant pre-sale work—such as engineering reports, sample testing, demonstration videos, design recommendations, or sourcing support—we reserve the right to recover reasonable costs if the customer cancels, withdraws, or fails to proceed within a reasonable timeframe.  

The customer agrees not to use or disclose any part of this pre-sale work to third parties—including alternative suppliers or manufacturers—without prior written consent. This includes attempts to replicate our solution or bypass our supply chain. Breach of this clause may result in recovery of costs, compensation for loss of earnings, or legal action.

 

4. Ownership of Pre-Sale Materials  
All documents, specifications, video demonstrations, engineering reports, sourcing details, or technical designs provided by Pack Stuff as part of a quotation or pre-sale engagement remain the intellectual property of Automatic Weighing and Conveying Systems Ltd. These materials are provided for evaluation purposes only and must not be disclosed to third parties, copied, or used for competitive tendering without written consent. Any unauthorised use may result in a claim for losses or a recovery of reasonable consultancy costs.

 

5. Quotation Validity  
All quotations are valid for 14 days unless otherwise stated. After this period, Pack Stuff reserves the right to revise pricing or withdraw the offer. Pre-sale consultation and materials provided in support of the quotation are not to be retained or reused without written permission beyond this validity period.

 

6. Non-Circumvention  
The customer agrees not to attempt to circumvent Pack Stuff by directly approaching manufacturers, agents, or suppliers introduced or identified through our quotation process. Any such attempt will be considered a breach of these terms and may give rise to a claim for damages or lost margin.

 

7. Payment Terms & Recovery  
Invoices must be paid by the due date stated. Late or non-payment may result in legal recovery action. We reserve the right to charge interest under the Late Payment of Commercial Debts (Interest) Act 1998, plus reasonable administrative or legal costs.

 

8. Binding Use of Services  
By engaging with us—whether through this website, email, phone, quotation request, or verbal agreement—you acknowledge and accept these Terms of Sale in full.
